Terms of Service

The agreement between us and the restaurants, marketplace vendors, marketplace customers and resellers who use the platform. If you ordered food on a restaurant's own website or branded app, your contract is with that restaurant, not with us — the first section has a table showing which parts apply to you.

Merchants, vendors, customers and resellers
This document is maintained in English, which is the authoritative version. We have not published translations because a mistranslated legal term would change what we are promising. If anything here is unclear in your language, email privacy@restroai.io and we will explain it.

1.About these terms

These terms are the agreement between you and Muhammad Tahir Jamil, trading as RestroAI ("RestroAI", "we", "us") when you use our platform to run a restaurant, when you sell on our marketplace, when you order through our marketplace, or when you join our reseller programme. By creating an account or using the platform you accept them.

Which sections apply to you depends on how you reached us, so this table is worth a moment before you read on.

If you areReadWho you are contracting with
A restaurant licensing our software to run your own storefront, POS or branded appAll sections except the marketplace and reseller onesRestroAI — for the software only. You remain the seller of your food
A vendor selling on the RestroAI marketplaceAll sections, including "Selling on the RestroAI marketplace"RestroAI — for the marketplace listing and the software. You remain the seller of your food and arrange your own delivery

A diner ordering on a restaurant's own storefront or branded appThese terms are not your contract — see the note belowThe restaurant you ordered from
A reseller of the platformAll sections, including "Reseller programme"RestroAI
If you ordered food from a restaurant on its own website or its own branded app, these terms are not your contract. Your contract is with the restaurant you ordered from — it sets the prices, prepares the food and handles refunds. We only provide the software it runs on. This is different from our marketplace, where you are our user and the sections below do apply to you.

Our privacy policy forms part of these terms and explains how we handle personal information.

2.What we provide

We give you a licence to use our software for as long as your subscription is active. Depending on your plan that can include:

  • An online storefront, on a subdomain we provide or on your own custom domain.
  • A merchant dashboard and point-of-sale system.
  • Order, menu, inventory, staff and rider management.
  • A restaurant-branded mobile app for iOS and Android, which we build and publish under our own developer accounts.
  • Marketing, analytics and AI-assisted tools.
  • Where we make it available to you, a listing on the RestroAI marketplace — our own multi-vendor storefront, on separate commercial terms set out below.

The licence is non-exclusive, non-transferable, and only for operating your own food business. You may not resell or sublicense the platform unless you are in our reseller programme.

We are a software provider. We do not prepare, sell, handle or deliver food, we are not a party to any order a diner places with you, and we do not employ your staff or your riders.

3.Your account

  • You must be legally able to enter a contract and to operate a food business where you trade.
  • The information you give us must be accurate, and you must keep it up to date.
  • You are responsible for everything done under your account, including by your staff.
  • Keep your credentials secure and tell us promptly if you think they have been compromised.
  • You are responsible for the accounts you create for your staff and for the permissions you grant them.

4.Plans, trials and billing

Plans and limits

Each plan sets what you can use and how much: number of locations, number of products, orders per month, and which features are enabled — custom domain, POS, advanced analytics, white labelling, API access, multi-language, inventory and staff management.

Your plan limits are fixed at the moment you subscribe. If we later add features to a plan, existing subscriptions do not automatically gain them — ask us and we will move you across. Exceeding a limit may block the action rather than bill you for the excess.

Free trial

We may offer a free trial of 14 days on a software subscription. During a trial you get the plan's features without paying, and we may limit or withdraw trials at our discretion. If you do not subscribe before the trial ends, access stops — we do not charge you automatically unless you have given us a payment method and agreed to it.

Marketplace vendors get a different and more generous trial: it does not start until you have completed your first real order, so the clock never runs while you are still setting up. See the marketplace section below.

Fees and payment

  • Plans are billed monthly, annually, or as a one-off lifetime fee, as shown when you subscribe. Some plans carry a one-time setup fee.
  • Subscription fees are payable by the methods shown at checkout, which in Pakistan are JazzCash, Easypaisa or bank transfer. Where you set up a recurring payment, you authorise charges on your chosen cycle until you cancel. Where recurring payment is not available for your method, we invoice you each period and you pay on the due date.
  • Fees exclude taxes. Where tax is due on top, you pay it. Where we are required to withhold or collect a tax, we will show it.
  • Fees are quoted in Pakistan Rupees unless the checkout says otherwise, and charged in the currency quoted. Any conversion or bank charges are yours.

If a payment fails we will try again and let you know. If an invoice stays unpaid for 14 days after it falls due, we may suspend your account until it is settled.

Price changes

We may change our prices with at least 30 days notice. A change takes effect at your next renewal, never mid-period, and if you do not accept it you can cancel before it applies.

Cancellation and refunds

Cancellation: none — cancel any time from your dashboard or by emailing us, and it takes effect at the end of the billing period you have already paid for. Refunds on subscription fees: if you cancel within 14 days of your first paid period and have not taken a live customer order on the platform, we refund that payment in full. After that we do not refund part-used periods, because your access continues to the end of the period. If we terminate your account for a reason that is not your breach of these terms, we refund the unused part of what you have paid, pro rata.

This covers what you pay us for the software. Refunds to your diners for their food orders are yours to decide and yours to pay — see the next section.

5.Orders, customer payments and refunds

When a customer pays for an order, the money is theirs to you, not to us. We do not act as a payment processor, we do not take a cut of your order value, and we never hold your takings at any point.

How order money reaches you

MethodWho holds the moneyWho settles it
JazzCash or EasypaisaThe wallet provider, until it settles to the account you registered with itThe wallet provider pays you directly. We are not in the payment path
Bank transfer, including RaastYour bankThe customer pays your account directly
Cash on deliveryYou, or your rider, from the moment it is handed overYou and the customer, between yourselves. We only record that the order was cash
We do not accept card payments, and the platform is not a card acquirer. If that changes we will update these terms before any card payment is taken.

What that makes your responsibility

  • You are the seller of the food. You set prices, describe the items and are responsible for fulfilling the order.
  • You decide and fund refunds, cancellations and goodwill gestures for customer orders. We have no obligation to fund any of them.
  • Disputes, reversals and any fees a payment provider charges you are yours. If a provider reverses a payment, we have no obligation to make it up.
  • You must hold your own account with any wallet or bank you accept payment through, keep it in good standing, and meet that provider's terms. If a provider restricts or closes your account you may be unable to take payments, and that is outside our control.
  • You are responsible for collecting cash safely and for any shortfall, theft or dispute arising from a cash order.
  • Tax on your sales, including any sales tax you must charge or remit, is yours to calculate and pay. We record what you configure and do not file anything on your behalf.

Where you connect a third-party ordering channel, that channel's own terms and fees apply to those orders in addition to these terms.

6.Selling on the RestroAI marketplace

This section applies where we make the marketplace available to you and you list your restaurant on it. The marketplace is our own storefront, carrying many vendors, and it is a different commercial deal from licensing our software to run your own site.

What it costs

TermWhat we commit to
Commission on your ordersZero. We take no percentage of your order value, your delivery charge or your tips — not at launch, and not as a change we can make without giving you notice under the price-change clause above
What you pay insteadA flat monthly fee, at the amount shown when you list. It does not change with your order count or your revenue
Free trialYour trial does not begin until you have completed your first real customer order. Time spent setting up your menu, hours and delivery area does not count against it, and if you never complete an order you are never charged
Payment processing feesNot ours and not charged by us. Whatever JazzCash, Easypaisa or your bank charges you is between you and them
Zero commission means exactly that: order money goes from your customer to you, and never through us. We cannot deduct a commission from money we never hold.

Delivery is yours

You arrange delivery yourself, with your own riders or your own courier. We do not operate a delivery fleet, we do not dispatch your orders, and we do not insure or employ whoever carries them.

  • You set your own delivery area, delivery charge, minimum order and preparation times, and you must keep them accurate.
  • You are responsible for delivering within the time you quoted, for the condition the food arrives in, and for the conduct of your riders.
  • Late, missing, damaged or incorrect deliveries are yours to resolve and yours to refund. We will pass on a complaint and may mediate, but the liability is yours.
  • Your riders are yours to engage, pay, insure and manage lawfully. They are not our riders, and nothing on the marketplace makes us their employer or principal.
  • You must hold whatever licences and insurance the law requires for preparing food and for operating vehicles where you trade.

Listing standards

  • Your listing, menu, prices, photographs and allergen information must be accurate and kept current. Customers choose between vendors on this information.
  • You must honour the price shown on the marketplace at the time of the order.
  • You must accept or decline an order promptly, and keep your opening hours honest. Repeatedly ignoring or cancelling orders damages every vendor on the marketplace.
  • You must not use the marketplace to divert customers to another channel in breach of these terms, or to advertise a competing marketplace.
  • You must not manipulate ratings or reviews, including by posting them yourself or incentivising them.

We may rank, feature, filter or search vendors as we judge useful to customers, and we may decline to list you or remove your listing. Where we remove a listing for something other than your breach of these terms, we refund the unused part of your monthly fee pro rata.

Because the marketplace is our storefront rather than yours, we decide how it looks, how vendors are presented and which vendors appear. Being listed is not a promise of orders, placement, visibility or revenue.

7.Ordering through the RestroAI marketplace

This section is for customers ordering through the RestroAI marketplace. It applies to you because the marketplace is our product — unlike a restaurant's own website, where your contract is with that restaurant alone.

Who you are buying from

You buy the food from the vendor, not from us. The vendor sets the price, describes and prepares the food, and delivers it. We provide the marketplace you found them on, take your order to them, and support you if something goes wrong.

If this goes wrongWho is responsible
The food, its quality, its accuracy or its allergen informationThe vendor
The order arrives late, damaged or not at allThe vendor, who arranges delivery
Your payment, once it has left your wallet or bankYour payment provider and the vendor. We never hold it
The marketplace itself — the app, search, your account, your order going astray before it reached the vendorUs

Placing an order

  • An order is an offer to buy from the vendor. It is accepted when the vendor confirms it, and either of you may be unable to proceed before then — an item may be unavailable, or the vendor may be closed or outside your area.
  • Pay by JazzCash, Easypaisa, bank transfer, or cash on delivery where the vendor offers it. We do not take card payments and we do not store any payment credential.
  • Prices shown include what the vendor has told us to show. Delivery charges and any taxes are shown before you confirm.
  • Give an address and phone number that are correct and reachable. A failed delivery caused by a wrong address or an unanswered phone is not refundable by us.
  • Allergies: tell the vendor in the order notes AND satisfy yourself directly if a reaction would be serious. We display what the vendor enters and cannot verify it.

If something goes wrong with an order

Contact the vendor first, through the order in the app — they can fix most problems fastest, and they decide refunds on their own food. If you cannot reach them or they will not help, contact us at support@restroai.io and we will take it up with them on your behalf. We can remove a vendor that treats customers badly, and we do.

Being straight with you about the limit of this: because order money never passes through us, we cannot refund you ourselves. What we can do is press the vendor, and act on their listing if they refuse.

Your account and conduct

  • You must be at least 16 to hold an account, and the details you give us must be accurate.
  • Treat vendors and riders decently. We may suspend an account for abuse, threats or harassment.
  • Do not place fraudulent or malicious orders, refuse delivery of cash orders repeatedly, or abuse refunds and promotional credit.
  • Reviews must reflect a real order and must not be defamatory. We may remove reviews that are not, and suspend accounts that post them.
  • One account per person, unless we agree otherwise. Promotions are limited to one per person unless stated.

8.Refunds and cancellation, in one place

The rules below are also stated in context above. They are collected here because this is the question people most often need answered quickly.

Software subscriptions, paid to us

SituationOutcome
You cancelNone — cancel any time from your dashboard or by emailing us, and it takes effect at the end of the billing period you have already paid for.
You cancel within 14 days of your first paid period, having taken no live orderFull refund of that payment
You cancel laterNo refund of the current period; your access runs to the end of it
We terminate your account, and you have not breached these termsPro-rata refund of the unused part of what you have paid
We terminate your account for your breach of these termsNo refund, and fees already due remain payable
We withdraw the service entirelyPro-rata refund of any period paid for and not received

Marketplace monthly fees, paid to us

  • Your trial does not start until your first completed order, so you are not charged for a period in which you never traded.
  • Cancel any time; the fee you have already paid runs to the end of its month and is not refunded part-way.
  • If we remove your listing for a reason other than your breach, we refund the unused part of the month pro rata.

Food orders, paid to a vendor

These are not ours to refund, and we want to be unambiguous about why: the money goes from the customer to the vendor and never passes through us, so there is nothing for us to return. The vendor decides and funds refunds on its own orders. Customers should raise it with the vendor first, and with us if the vendor will not engage — see the marketplace section above.

How to ask for a refund from us: email support@restroai.io from the address on your account, saying what you paid for and when. We will reply within one business day and, where a refund is due, make it by the method you paid with, within 10 business days of agreeing it.

9.Your responsibilities

These matter because the platform shows your information to the public, and in several areas the law holds you — not us — responsible for its accuracy.

  • Food safety, hygiene, licensing and labelling compliance are entirely yours.
  • Allergen and dietary information must be accurate and current. We display what you enter and cannot verify it. An error here can seriously harm someone.
  • Prices, taxes, delivery charges and item descriptions must be accurate and not misleading.
  • You must hold the rights to the images, logos, menus and text you upload.
  • On your own storefront or branded app you must give your customers their own privacy notice: for their personal information you are the controller and we act on your instructions. On the RestroAI marketplace it is the other way round — we are the controller for the customer's account and we give them our own notice, while you remain responsible for what you do with the order details we pass you. The privacy policy sets out both.
  • Your staff and riders are yours to engage, pay, insure and manage lawfully. We are not their employer.
  • You must not use the platform in breach of any law that applies to you.

10.Acceptable use

You must not:

  • Sell anything unlawful through the platform, or anything you are not licensed to sell.
  • Upload content that is unlawful, deceptive, infringing, obscene or hateful.
  • Attempt to access another merchant's data, or any part of the system you have not been granted access to.
  • Probe, scan, overload or interfere with the platform or its infrastructure, or circumvent any limit or security control.
  • Reverse engineer, copy or create a competing product from the platform.
  • Scrape the platform, or use automated means against it beyond any API your plan includes.
  • Use the platform to send unlawful marketing, or to message people who have not consented where consent is required.
  • Share your account credentials, or resell access, outside the reseller programme.

Where your plan includes API access, you must stay within any published rate limits and keep your keys secret. We may revoke a key that is being misused.

11.Your data and your diners' data

Your menus, orders, customer records and settings remain yours. We do not sell them, and we do not use them to compete with you.

We use them to run the platform for you: to operate the service, to keep it secure, to provide support, and in aggregated or anonymised form to improve the product. Where we handle your diners' personal information, we do so on your behalf and under your instructions.

Stated plainly so you can plan: there is no self-service export or delete button yet, so requests are handled by a person over email and we answer within 30 days. Retention periods for each kind of data are set out in the privacy policy.

12.Third-party services and AI features

The platform depends on services we do not control, including JazzCash and Easypaisa for wallet payments, Google and Meta for sign-in and maps, Meta for WhatsApp messaging, Anthropic for AI features, Cloudflare for delivery and security, and OneSignal for notifications. Their terms apply to their part of the service, and we are not liable for their acts, outages or decisions.

AI-assisted features

Some features generate text or extract information automatically — menu import, marketing copy, chat replies and support routing. These are suggestions produced by a machine.

  • Output can be wrong, incomplete or unsuitable. Review it before you publish or send it.
  • You remain responsible for anything you publish, even if the platform drafted it. This is particularly serious for prices and allergen information.
  • Content you put into these features, including menu documents and chat messages, is sent to our AI provider to be processed.
  • We do not guarantee any particular output, and we may change or withdraw an AI feature.

13.Intellectual property

The platform, its software, design and branding belong to Muhammad Tahir Jamil, trading as RestroAI. Nothing in these terms transfers any of it to you beyond the licence described above.

Your brand, menus, images and content remain yours. You grant us the licence we need to host, display and distribute them in order to run the service for you — including on your storefront, in your mobile app and in its store listing. That licence ends when you stop using the service, except for copies we must keep for legal or backup reasons.

If your plan does not include white labelling, we may show modest attribution on your storefront. If you give us permission, we may name you and use your logo as a customer reference; you can withdraw that permission at any time.

14.Availability and support

Uptime commitment: we target 99.9% availability each month, excluding planned maintenance we have given notice of. This is a target we work to and publish, not a guarantee, and it does not carry service credits. Support: Monday to Saturday, 9am to 9pm Pakistan Standard Time, by email and in-dashboard chat. We aim to respond first within one business day, and faster for anything stopping you taking orders.

We work to keep the platform available and will give notice of planned maintenance where we reasonably can. Emergency maintenance and security fixes may have to happen without notice.

We do not guarantee uninterrupted or error-free service, and we give no service credits. If continuous availability is critical to your business, keep an offline fallback for taking orders.

15.Suspension and termination

By you

You can stop using the platform and close your account at any time, subject to the cancellation terms above.

By us

We may suspend or terminate your account if:

  • An invoice stays unpaid beyond the grace period above.
  • You breach these terms, in particular the acceptable use section.
  • We are required to by law, or by a payment provider or app store.
  • Your use poses a security risk to the platform or to other merchants.
  • You are using the platform to defraud or endanger diners.

Where it is reasonable to do so, we will warn you first and give you a chance to put it right. For serious or illegal conduct, or an immediate security or safety risk, we may act at once. We may also withdraw the service entirely with reasonable notice and a pro-rata refund of fees for any period you have paid for and will not receive.

What happens then

Your storefront and mobile app stop serving orders. You can ask us to export your data for 30 days after termination. After that we may delete it, and we will do so within 90 days, apart from records we must keep for tax, accounting or legal reasons. Fees already due remain payable.

Because we publish your mobile app under our developer accounts, closing your account also means the app is removed from the stores. The listing and its reviews cannot be transferred to you.

16.Reseller programme

This section applies only if you resell the platform to merchants.

  • You earn commission at the rate agreed with you on the subscriptions of merchants you bring in, and, where your agreement provides for it, on merchants brought in by resellers beneath you.
  • Payment and clawback: paid monthly in arrears, within 15 days of the end of the month in which we received the merchant's payment, once your unpaid balance reaches PKR 5,000. Commission is clawed back in full if the payment it was earned on is later refunded or reversed, or if the merchant cancels within 60 days of making it
  • Commission is calculated on net subscription revenue actually received, excluding taxes, refunds and chargebacks.
  • You are an independent business, not our employee, agent or partner. You may not make promises on our behalf about features, prices, timelines or performance.
  • You must describe the platform accurately and must not make guarantees we have not published.
  • We may change commission rates or the programme with reasonable notice. Changes do not retroactively reduce commission already earned.
  • We may remove you from the programme for misrepresentation, for breach of these terms, or for recruiting merchants by deceptive means.
Multi-level commission structures are regulated differently from one country to another, and a structure that rewards recruitment more than genuine sales can be treated as an unlawful scheme. Take local advice before promoting sub-reseller tiers as an income opportunity.

17.Disclaimers

The platform is provided "as is" and "as available". To the fullest extent the law allows, we exclude all implied warranties, including fitness for a particular purpose, merchantability and non-infringement.

We do not warrant that the platform will meet your requirements, that it will be uninterrupted, secure or error-free, that defects will be corrected, or that any particular commercial result — orders, revenue, growth — will follow from using it. Any figures, forecasts or savings estimates shown on our website or in a calculator are illustrations, not promises.

18.Limits on our liability

To the fullest extent the law allows, our total liability to you for all claims connected with the platform is limited to the total fees you paid us in the 12 months before the claim, or PKR 50,000 if you have paid us less than that.

We are not liable for loss of profit, revenue, business, goodwill, anticipated savings or data, nor for indirect or consequential loss, even if we were told it was possible.

Nothing in these terms excludes liability that cannot lawfully be excluded, including for death or personal injury caused by our negligence, or for fraud.

19.Your indemnity to us

You will cover our losses, including reasonable legal costs, arising from claims connected with: the food you sell and how you describe it, including allergen and dietary information; your content and whether you had the rights to it; your treatment of your diners' personal information; your staff and riders; and your breach of these terms or of any law that applies to you.

20.Changes to these terms

We may update these terms as the platform and the law change. The effective date at the top shows the current version. For changes that materially affect your rights or what you pay, we will tell you by email or in the dashboard before they take effect. Continuing to use the platform after that means you accept them; if you do not, you can cancel.

21.Governing law and disputes

These terms are governed by the law of Pakistan, and the courts of Lahore, Pakistan have exclusive jurisdiction over any dispute.

Before starting proceedings, please contact us so we can try to resolve the matter directly. Most disagreements are settled faster that way than through a court.

22.General

  • If any part of these terms is unenforceable, the rest continues to apply.
  • If we do not enforce a right immediately, we do not lose it.
  • You may not transfer your rights under these terms without our written consent. We may transfer ours if the business is sold or reorganised, and will tell you.
  • These terms, together with the privacy policy and your plan details, are the whole agreement between us, and replace anything said beforehand.
  • We may send notices to the email on your account. Send notices to us at the address below.
  • Neither of us is liable for failures caused by events outside our reasonable control.
